Terms of Service

These Terms govern your use of VerifySOS at verifysos.com. By creating an account or using the service, you agree to them. Honest version: we built this for commercial-finance underwriters; use it for that, don't use it to harass people, and we'll get along.

1. The service

VerifySOS aggregates and merges public-record business data — Secretary of State entity records, USDOT/FMCSA carrier registrations, OFAC SDN sanctions screening, UCC central-filing data, state contractor licenses, and related public sources — into a single verification PDF packet. We operate the platform; you operate your account.

2. Eligibility & account

• You must be at least 18 years old and have authority to enter into this agreement on behalf of yourself or your employer.
• You must provide accurate account information and keep it current.
• You're responsible for keeping your password secret. If your account is used by someone else with your credentials, you're responsible for what they do.
• One person per account. Sharing logins violates these Terms and may result in suspension.

3. Acceptable use

You may use VerifySOS to:

• Verify businesses you're considering extending credit to, signing as vendors, opening accounts for, or otherwise transacting with.
• Cross-reference owners and addresses across your own pull history.
• Build internal workflows that incorporate our public API per the terms at /api/docs.

You may not use VerifySOS to:

• Stalk, harass, threaten, or harm any person.
• Decide credit eligibility for consumers in a way that triggers the Fair Credit Reporting Act (FCRA). VerifySOS is not a consumer reporting agency and the data we surface is not a consumer report.
• Make employment, housing, insurance, or other FCRA-covered decisions about individuals.
• Automate scraping of VerifySOS itself, reverse-engineer the service, or extract our database wholesale. Use the published API instead.
• Resell access to your account or share your login.
• Violate any law or regulation in your jurisdiction.

4. Subscriptions & billing

• Plans: the BETA plan is $25/month, unlimited searches after a free trial. Trial length is the standard period (currently 7 days) plus any referral credits you've banked.
• Billing: handled by Stripe. We never see or store your card details. You authorize Stripe to charge your card on a recurring monthly basis until you cancel.
• Cancellation: cancel anytime from /account/settings → Billing → Manage subscription. You keep access until the end of your current billing period.
• Refunds: we don't issue refunds for partial months. If our service is materially broken for an extended period, email admin@verifysos.com and we'll work it out.
• Price changes: we may change pricing with at least 30 days' advance notice via the email on your account. Continued use after the change means you accept the new price.
• Failed payments: if your card declines and you don't update it within a reasonable period, we may suspend your account. Your pull history is preserved; you can resume by updating billing.

5. Data accuracy & "as is" service

VerifySOS pulls data live from public government sources at the time of each search. We don't curate, verify, or warrant that data. Government sources sometimes lag reality — a recently-filed entity may not appear immediately, a status may not reflect pending actions, an officer named on a 2-year-old filing may no longer be involved. Do not rely on a single VerifySOS pull as the sole basis for a credit, financial, employment, housing, legal, or regulatory decision.

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

6. Limitation of liability

To the maximum extent permitted by law, VerifySOS, its operators, directors, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to lost profits, lost data, business interruption, or losses resulting from credit decisions made in reliance on the service.

Our total liability to you for any claim arising from these Terms or your use of the service is limited to the amount you paid us in the 12 months preceding the claim.

7. Indemnification

You'll defend, indemnify, and hold VerifySOS harmless from any claims, damages, or costs (including reasonable attorneys' fees) arising from your misuse of the service, your violation of these Terms, or your violation of any law or third-party right.

8. Termination

• By you: cancel your subscription via /account/settings, or delete your account by emailing admin@verifysos.com from the address on file.
• By us: we may suspend or terminate your account immediately, with notice if reasonably possible, if you violate these Terms, if your use creates legal risk for us, or if we discontinue the service. Where reasonable we'll refund unused prepaid time.

9. Intellectual property

• The service (codebase, UI, brand, "VerifySOS" name) is owned by Phorbes Industries Inc. and protected by U.S. and international IP law.
• The data we surface (public government records) is, by definition, public. We don't claim ownership of the underlying records.
• The merged PDFs we generate for you — you may use those internally in your business processes. Don't resell them as a competing data product.
• Your feedback — if you send us suggestions or bug reports, we may use them to improve the service without obligation to you.

10. Modifications

We may update these Terms occasionally. If we make material changes, we'll notify you via the email on your account at least 14 days before they take effect. Continued use after the effective date means you accept the new Terms.

11. Governing law & disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflicts-of-law principles. You agree that any dispute arising from these Terms or your use of VerifySOS will be brought in the state or federal courts located in Salt Lake County, Utah, and you consent to personal jurisdiction there.
